Terms & Conditions
Clear Terms for Rates, Shipments, Charges & Liability
These Terms & Conditions apply to freight services arranged through Amark Logistics, Inc., including rates obtained through Amark systems, shipments tendered for transportation, applicable carrier charges, payment terms, and cargo liability.
Amark Logistics’ Role
Amark Logistics, Inc. operates as a freight broker and logistics service provider.
- Amark arranges transportation services with independent motor carriers and other transportation providers.
- The carrier selected for a shipment is responsible for the physical transportation of the freight.
- Shipments are subject to the applicable carrier’s rules, tariffs, bills of lading, service terms, and liability provisions.
- Amark remains involved in coordinating shipments and assisting customers with service issues, documentation, billing questions, and freight claims as applicable.
Freight Rates & Quotes
Freight quotes are based on the shipment information provided by the customer at the time the quote is requested.
Quoted rates may consider information including:
- Origin and destination
- Commodity
- Freight class and NMFC information
- Shipment weight
- Dimensions
- Number of pallets or handling units
- Equipment requirements
- Pickup and delivery requirements
- Requested accessorial services
- Other special handling requirements
A quoted rate is based on the information available at the time of quotation.
Final freight charges are based on the actual shipment characteristics and services performed.
Accuracy of Shipment Information
Customers are responsible for providing complete and accurate shipment information.
Information appearing on the bill of lading or other shipment documentation may be reviewed or verified by the carrier.
Changes or discrepancies may result in additional charges, including but not limited to:
- Reweigh charges
- Reclassification
- Corrected freight class or NMFC information
- Re-consignment
- Corrected bill of lading charges
- Address corrections
- Changes to the bill-to party
- Additional pickup or delivery services
- Detention or waiting time
- Limited-access charges
- Residential services
- Liftgate services
- Oversize or overlength charges
- Other carrier-assessed accessorial charges
Any applicable additional charges become part of the final freight charges for the shipment.
Carrier Rules & Tariffs
Transportation services are subject to the rules and conditions established by the carrier performing the transportation.
These may include provisions relating to:
- Rates and charges
- Accessorial services
- Freight classification
- Restricted or prohibited commodities
- Packaging requirements
- Pickup and delivery requirements
- Cargo liability
- Claims
- Declared value
- Guaranteed or expedited services
- Other transportation requirements
Transit Times
Transit times displayed or provided by Amark are generally based on the carrier’s published or estimated service schedule.
Unless specifically stated otherwise:
- Transit times are estimates.
- Transit is generally measured on a dock-to-dock basis.
- The pickup date is not normally counted as a transit day.
- Estimated transit does not constitute a guaranteed delivery date.
- Actual transportation time may be shorter or longer because of operating conditions, weather, capacity, terminal operations, delays, or other circumstances.
If a shipment requires a specific delivery date or guaranteed service, contact an Amark Logistics representative before booking.
Additional Charges & Final Billing
Shipments arranged through Amark Logistics will be invoiced by Amark Logistics, Inc.
Invoices may include:
- Transportation charges
- Fuel surcharges
- Accessorial services
- Carrier adjustments
- Reweigh or reclassification charges
- Additional services performed during pickup, transit, or delivery
- Other legally applicable transportation charges
The customer is responsible for charges resulting from the actual characteristics of the shipment and services provided, even when those charges were not included in the original quote because the applicable information was not known at the time of quotation.
Cargo Liability
Cargo loss or damage is subject to the liability provisions governing the carrier that transported the shipment.
Carrier liability may be affected by factors including:
- Carrier Rules Tariff
- Bill of lading
- Commodity
- Freight classification
- Shipment value
- Packaging
- Released or declared value
- Applicable transportation law
- Other carrier-specific liability provisions
Carrier liability should not be assumed to equal the full commercial or replacement value of the goods.
Amark Logistics does not guarantee that the carrier’s standard liability will cover the full value of a shipment.
Higher Declared Value & Cargo Insurance
Customers shipping high-value freight should notify Amark before the shipment is tendered.
When available, a higher declared value, excess valuation, or separate cargo insurance may require:
- Advance notice
- Written confirmation
- Disclosure of the shipment’s actual value
- Additional carrier or insurance charges
- Additional documentation or approval
Simply entering a value on a bill of lading does not necessarily increase carrier liability or create cargo insurance coverage.
Any requested additional protection should be confirmed with Amark before pickup.
Freight Claims
Loss and damage claims are subject to the applicable carrier’s rules, tariff provisions, transportation documents, and governing law.
Customers should:
- Inspect freight at delivery.
- Note visible loss or damage on the delivery receipt.
- Retain damaged freight and packaging when appropriate.
- Take photographs of damaged freight and packaging.
- Preserve relevant bills of lading, delivery receipts, invoices, and supporting documentation.
- Notify Amark promptly when loss or damage is discovered.
Amark can assist customers with the freight-claim process, but claim acceptance and settlement remain subject to the applicable carrier’s liability and claim requirements.
Filing a freight claim does not automatically relieve the responsible party of its obligation to pay transportation charges.
Payment Terms
Amark Logistics rates are based on discounted transportation pricing.
Unless other credit terms have been specifically approved:
- Payment terms are 15 days from the invoice date.
- Invoices are payable as presented.
- All applicable freight and service charges remain due according to the agreed payment terms.
- If an invoice is not paid in full within 45 days, applicable freight discounts may be removed and the full undiscounted amount may become due and payable.
Any separately approved customer credit terms will apply when documented by Amark.
Proprietary Rate Information
Rate information provided by or obtained through Amark Logistics systems is considered proprietary.
Customers and authorized users may not disclose, distribute, reproduce, or use Amark rate information for purposes unrelated to their authorized business relationship with Amark without permission.
Authorized Website Use
Customers are responsible for shipment activity submitted through their authorized Amark account or secure login.
Users submitting shipment information represent that they are authorized to:
- Request freight rates
- Tender shipments
- Provide shipment instructions
- Request transportation services
- Accept applicable charges on behalf of the customer account
Charges resulting from shipment information or services authorized through the account are the responsibility of the applicable customer account.
Acceptance of Terms
By requesting, booking, or tendering transportation services through Amark Logistics, the customer acknowledges that the shipment is subject to:
- These Terms & Conditions
- Applicable carrier Rules Tariffs
- Applicable bills of lading and transportation documents
- Agreed customer credit terms
- Applicable federal and state transportation requirements
If there is a conflict involving carrier transportation requirements or carrier liability, the applicable carrier tariff, transportation document, and governing law may control.
